Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of TidyChat (the "Service"), operated by Aida Technologies S.R.L., a company registered in Romania ("TidyChat", "we", "us"; see our Imprint for registration details). By creating a workspace or using the Service you agree to be bound by these Terms.
2. The Service
TidyChat provides a multi-channel conversational CRM that connects messaging channels, automates lead intake, and helps teams manage customer conversations.
3. Accounts and Workspaces
You are responsible for the activity that happens under your workspace and for keeping your credentials secure. Workspace owners may invite and remove members and are responsible for their members' use of the Service.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and third-party platform policies.
You must not misuse the Service, including by sending spam, unlawful, abusive, fraudulent, or unsolicited bulk messages; violating applicable messaging consent requirements; attempting to disrupt, compromise, or reverse-engineer the Service; or engaging in activities that may harm the Service, its users, or connected third-party platforms.
You are responsible for all activities conducted through your account, including automated communications and messaging activities.
Our Acceptable Use Policy provides further details regarding prohibited activities.
We reserve the right to suspend, restrict, or block your account, connected integrations, or messaging activities where we reasonably believe that these Terms or our Acceptable Use Policy have been violated.
Where reasonably necessary to prevent unlawful activity, security threats, platform abuse, or harm to the Service or third parties, we may take immediate action without prior notice.
5. Fees and Prepaid Balance
TidyChat uses a prepaid balance model, not a subscription. You add funds to your account balance, and charges for the Service are deducted from that balance as services are used or become due.
Charges may include AI usage, messaging services, active phone numbers or messaging sessions, and other paid features. Current prices and billing intervals are shown on our pricing page and in the Service. Applicable taxes and the total amount payable are shown before you pay.
Recurring service charges. Some services, such as active phone numbers and messaging sessions, have a recurring charge. It is deducted automatically from your balance at the applicable billing interval for as long as the service is active. You can deactivate a service at any time to stop future charges.
Auto Top-Up. Auto Top-Up is optional. If you enable it, you authorise us to charge your selected payment method automatically when your balance reaches the threshold you set, for the amount you set. You can change or disable it at any time in your billing settings. Disabling it stops new automatic payments, but does not reverse payments already made or deactivate active services.
If your balance is not enough to cover a charge, we may restrict, suspend or disconnect the affected service, following any applicable grace period.
Your prepaid balance can only be used for TidyChat services and is not a bank account, payment account or electronic money. Price changes, refunds of unused balance, cancellation and billing corrections are governed by our Refund, Billing & Cancellation Policy.
6. Data Protection
Our processing of personal data on your behalf is governed by our Privacy Policy and, where applicable, our Data Processing Agreement.
7. Termination and Refunds
You may cancel your subscription or discontinue using the Service at any time, subject to the applicable billing and cancellation terms.
Upon cancellation or termination of your account, you may request a refund of any remaining unused prepaid balance in your TidyChat account.
Charges already deducted for services provided, including AI usage, phone numbers, messaging services, subscription fees, and other applicable service charges, are non-refundable, except where required by applicable law.
We reserve the right to suspend or terminate your access to the Service if you violate these Terms or our Acceptable Use Policy, including through spam, fraudulent activity, unlawful conduct, or other serious misuse of the Service.
In cases of serious violations, we may suspend or terminate your account and associated messaging activities immediately and without prior notice.
Where an account is terminated due to such violations, we reserve the right, to the extent permitted by applicable law, to deduct from any remaining prepaid balance outstanding service charges, legally recoverable damages, and other amounts lawfully owed to us.
Any remaining refundable balance will be returned upon request, subject to reasonable verification, applicable legal restrictions, and any lawful withholding obligations. Refunds will generally be issued to the original payment method.
Following termination, access to your account and its data may be restricted or discontinued. Data retention, export, and deletion will be handled in accordance with our Privacy Policy, Data Processing Agreement, and applicable law.
8. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted or error-free, or that AI-generated responses will be accurate (see Section 10).
Business customers. If you use the Service for business or professional purposes, and to the extent permitted by applicable law:
- we are not liable for indirect or consequential loss, or for loss of profit, revenue, business opportunity or goodwill; and
- our total liability arising out of or in connection with the Service, these Terms and the Data Processing Agreement is limited to the greater of EUR 100 and the service charges you actually incurred in the 12 months before the event giving rise to the claim.
Refunds of unused prepaid balance are not subject to this limit and do not count towards it.
Consumers. If you are a consumer, the limitations above do not apply, and your mandatory rights under applicable consumer protection law are not affected.
Exceptions. Nothing in these Terms limits or excludes our liability for:
- damage caused intentionally or through gross negligence;
- death or personal injury;
- fraud;
- obligations towards data subjects under data protection law; or
- any other liability that cannot be limited or excluded under applicable law.
9. Changes to These Terms
We may update these Terms. When we do, we will publish a new version and ask you to review and accept it. Continued use after a new version takes effect constitutes acceptance.
10. AI-Generated Responses
Some replies sent through the Service are generated automatically by an AI assistant. AI output may be inaccurate, incomplete, or unsuitable and does not constitute professional advice of any kind. You are responsible for configuring and supervising the assistant and for reviewing its output; a human handoff is available so a member of your team can take over a conversation at any time. Message content is processed by our AI model providers solely to generate responses and is not used by those providers to train their models. The providers currently in use are named on our Sub-processor list; see also our Privacy Policy.

12. Language and Controlling Version
These Terms and the policies incorporated by reference are available in Romanian, English, and Hebrew.
The Romanian version is the authoritative and legally controlling version. The English and Hebrew versions are provided for convenience and accessibility.
In the event of any inconsistency or discrepancy between the language versions, the Romanian version shall prevail, to the extent permitted by applicable law.
